Medvedev Commissions List of CGC State Companies

By 11 June, the Ministry for Economic Development, Federal State Property Management Agency, Open Government Minister Mikhail Abyzov and Alexander Voloshin’s MIFC Taskforce are due to introduce to the Government a list of 50%-plus state-owned companies for priority Corporate Governance Code implementation. The Code was passed by the Government in February.

The directive, signed by Dmitry Medvedev following the 28 May meeting with the Expert Board, has been published on the Government website.

A 30 June deadline is set for roadmaps on CGC implementation in listed companies. Top implementation priority is assigned to the articles on appointment and termination of appointment of General Director by the Board, as well as Board control over material transactions and corporate actions in subsidiaries.

By 1 October, the Ministry for Economic Development, the Central Bank and Voloshin’s Taskforce are to draft amendments on access of Board members to documents and information of controlled companies (on condition of non-disclosure of confidential information) and General Director’s personal liability for failing to submit or disclose such information.
